Acceptance of Terms

By accessing or using the services provided by Bradley Brands (“we,” “us,” or “our”), you agree to comply with and be bound by these Terms of Service. Please read these terms carefully before using our services. If you do not agree to these terms, you should not use our services.

Services Provided

Bradley Brands provides digital marketing services, including but not limited to social media management, digital advertising, funnel building, CRM services, and automated follow-ups. By engaging our services, you agree to allow us to execute marketing strategies on your behalf.

Unless expressly stated in writing, Bradley Brands does not guarantee ongoing maintenance, updates, performance levels, uptime, or continued compatibility of any services, automations, workflows, or third-party software integrations.

Subscription Services & Software Access

Certain services provided by Bradley Brands include access to subscription-based software platforms, tools, automations, workflows, and configurations (“Subscription Services”).

Access to Subscription Services is provided on a licensed basis and is conditioned on continued payment and compliance with these Terms. Bradley Brands reserves the right to suspend or revoke access for non-payment, violation of these Terms, or technical or platform-level constraints.

Client Responsibilities

As a client, you are responsible for providing accurate, current, and complete information as required for us to deliver our services. This includes providing timely access to necessary resources such as branding materials, company information, and relevant data to ensure the effectiveness of our services. Failure to provide such information may result in delays or an inability to fulfill our obligations.

Payment and Fees

Fees for our services will be agreed upon in a separate contract or invoice. Payment terms will be outlined in this contract and must be adhered to. We reserve the right to suspend or terminate services in the event of non-payment. All fees are non-refundable unless otherwise stated in the contract.

Modifications to Services

We may modify or discontinue any of our services at any time, with or without notice, at our discretion. It is your responsibility to regularly review these terms for any changes. Continued use of our services after any modifications constitutes your acceptance of the updated terms.

Intellectual Property

All content, strategies, and deliverables provided by Bradley Brands remain the intellectual property of Bradley Brands unless explicitly transferred in writing. You are granted a non-exclusive, non-transferable license to use the deliverables for the purpose of your business operations. This license applies unless such deliverables are expressly designated in writing as Client-Specific Custom Work.

Custom Client-Specific Work

Certain services provided by Bradley Brands may be expressly designated in writing as Client-Specific Custom Work (“Custom Work”).

Unless otherwise stated in writing:

- Ownership of Custom Work created exclusively and uniquely for Client shall transfer to Client upon full payment.

- Bradley Brands retains no ongoing obligation to maintain, update, support, or modify Custom Work after delivery unless such maintenance is explicitly included in a separate written agreement.

- Notwithstanding the foregoing, Bradley Brands retains the right to reuse, adapt, generalize, replicate, or incorporate any concepts, structures, logic, workflows, methods, or non-confidential elements derived from Custom Work for:

> Internal use

> Demonstration purposes

>Development of systems for other clients

Any restriction on Bradley Brands’ reuse of such elements must be expressly agreed to in writing and shall not be implied.

Third-Party Platforms

Bradley Brands’ services may rely on third-party platforms, software, or services. Bradley Brands does not control and is not responsible for changes, outages, pricing modifications, feature removals, or service interruptions caused by third-party providers.

Confidentiality

We will maintain the confidentiality of all proprietary information shared between Bradley Brands and your business. You agree not to disclose any confidential information provided by us without prior written consent.

Limitation of Liability

To the maximum extent permitted by law, Bradley Brands shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the services provided, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you for the services in question.

Termination

Either party may terminate this agreement with written notice. Upon termination, you will be responsible for payment of all services rendered up to the termination date. Bradley Brands reserves the right to terminate services if you breach these Terms of Service or engage in any illegal or unethical practices.

Account Migration and Portability

Upon written request, and subject to technical feasibility, Bradley Brands may assist with transferring or migrating a Client’s account.

Client acknowledges that:

- Account migration does not include transfer of Bradley Brands’ proprietary systems, workflows, automations, prompts, templates, or configurations.

- Certain components may be removed, disabled, or replaced prior to or during migration.

- Bradley Brands’ obligation is limited to providing reasonable access to Client Data, not to recreating or replicating Agency systems.

- Any migration assistance may be subject to additional fees, is not guaranteed, and is limited to the technical limitations of the underlying third-party platforms.

- No further support is provided for accounts that have been transferred and is the responsibility of the Client to obtain proper support and assistance.

Client Data Ownership

Clients retain ownership of their data submitted to Bradley Brands’ systems. Upon request and subject to applicable law, Clients may request access to or export of their data in a commonly used format, including the transfer or migration of the account.

Conflict

Any dispute arising out of or relating to these Terms or the services provided shall be resolved through mediation then binding arbitration, conducted in the State of Colorado, before a single mediator/arbitrator mutually agreed upon by the parties. Each party shall bear its own legal fees unless otherwise required by law.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Colorado, without regard to its conflict of law provisions.

Bradley Brands SMS Marketing Opt-Out

You may receive SMS messages from Bradley Brands for appointment confirmations and reminder, general communications, promotions, and marketing.

You can cancel the SMS service at any time. Simply text "STOP" or the keyword or phrase provided in the original message to the phone number or shortcode it comes from. Upon sending the keyword, we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
